This Subscription Agreement (“Agreement”) is between [COMPANY NAME], a [STATE] [ENTITY TYPE] (“Provider”), and the customer that accepts it (“Customer”). It applies to paid subscriptions to the Rentsi Service and incorporates the Terms of Service, Privacy Policy and Acceptable Use Policy.
1. Subscription
Provider grants Customer a non-exclusive, non-transferable right for its authorized users to use the Service during the subscription term for Customer's internal business.
2. Fees and billing
Fees are $1.50 per unit per month, billed in blocks of 25 units (the unit count is rounded up to the next block), with a minimum of 200 units ($300 per month), unless an order form states otherwise. “Units” means rentable units managed in the Service.
Fees are billed monthly in advance [or annually] to the payment method on file. Unit counts are measured [on the first day of each billing period], and increases during a period are billed [on the next invoice].
Fees exclude taxes, and exclude charges from third-party accounts Customer connects (telephone, texting, payment processing, banking), which those providers bill directly.
Unpaid amounts more than [15] days overdue may result in suspension after notice. Provider may charge late interest of [1.0%] per month or the maximum allowed by law, whichever is less.
Provider may change fees with at least [30] days' notice, effective at the next renewal.
3. Term and auto-renewal
The subscription starts on the date Customer subscribes and renews automatically for successive [monthly] terms unless either party cancels before the end of the current term. [Confirm any automatic-renewal disclosure and reminder rules that apply in your and your customers' states.]
4. Cancellation
Customer may cancel at any time in the account settings or by written notice to [EMAIL]. Cancellation takes effect at the end of the paid period. Fees already paid are non-refundable except where required by law or stated in an order form.
5. Customer Data: ownership and export
Customer owns Customer Data. Provider uses Customer Data only to provide, secure and support the Service and as Customer instructs.
During the term and for [30] days after it ends, Customer may export its Customer Data in a standard format (such as CSV and PDF documents). After that period, Provider may delete Customer Data, except backups retained for up to [90] days and copies required by law.
6. Availability and support
Provider will use commercially reasonable efforts to make the Service available, except for planned maintenance and events outside its reasonable control. Provider does not guarantee a specific uptime percentage unless an order form says so.
Support is provided by [email / phone / in-app chat] during [business hours, ET].
7. Customer responsibilities
Customer is responsible for its users, its Customer Data, and its compliance with laws that apply to its business, including landlord-tenant, fair housing, tenant screening and consumer reporting (including FCRA), telephone and text-message consent (including TCPA), debt collection, employee monitoring, and affordable-housing program rules.
Customer is responsible for its own third-party integration accounts (for example texting/phone, email, payments and banking), their registration and compliance requirements (such as business-texting carrier registration), their fees, and their terms.
8. Security
Provider will maintain reasonable administrative, technical and physical safeguards for Customer Data and will notify Customer without undue delay after confirming a security incident affecting Customer Data, as required by law.
9. Warranties and disclaimers
Each party warrants it has authority to enter this Agreement. Except as stated here, the Service is provided “as is” and Provider disclaims implied warranties to the extent the law allows. Templates, calculations and automations are tools and are not legal, tax or compliance advice.
10. Limitation of liability
Except for Customer's payment obligations and either party's indemnity obligations, each party's total liability arising out of this Agreement is limited to the fees paid or payable by Customer in the [12] months before the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data, even if advised of their possibility.
11. Indemnity
[Have your attorney draft mutual or one-way indemnities appropriate for your business.]
12. General
This Agreement is governed by the laws of the State of [STATE]. Neither party may assign it without consent, except in a merger or sale of substantially all assets. Notices go to the addresses on the account. This Agreement, with any order form, is the entire agreement on its subject.
